Terms of Service

Welcome to Stat Share. These Terms of Service ("Terms") govern your access to and use of the Stat Share mobile application ("App"), website, and related services (collectively, the "Service") provided by Stat Share ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or otherwise using the Stat Share App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

Stat Share is a mobile application designed for scorekeeping across card games and table games. The Service includes, but is not limited to:

• Score tracking and game session management for various card and table games
• Social features including friend connections and player profiles
• In-game chat messaging between players
• Photo sharing within game sessions
• Game statistics, analytics, and historical performance tracking
• Leaderboards and player rankings

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Responsibilities

To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security

You are solely responsible for all activity on your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. User-Generated Content

"User Content" refers to any content you submit, post, upload, or otherwise make available through the Service, including but not limited to game scores, chat messages, photographs, profile information, and player names.

You retain ownership of your User Content. However, by submitting User Content to the Service, you grant Stat Share a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, display, and perform your User Content solely in connection with operating, providing, improving, and promoting the Service. This license continues for a commercially reasonable period after you delete your User Content from the Service, except to the extent it has been shared with other users who have not deleted it.

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to submit your User Content
• Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights
• Your User Content complies with these Terms and all applicable laws and regulations

We reserve the right, but are not obligated, to review, monitor, edit, or remove User Content at our sole discretion, including content that we determine violates these Terms or is otherwise objectionable.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using the Service:

• Harassment and abuse: Threatening, harassing, bullying, stalking, or intimidating other users; engaging in hate speech or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Harmful content: Posting or sharing content that is obscene, pornographic, violent, defamatory, libelous, or otherwise objectionable
• Spam and manipulation: Sending unsolicited messages, creating fake accounts, artificially inflating scores or statistics, or using bots or automated tools to interact with the Service
• Illegal activity: Using the Service for any purpose that violates local, state, national, or international law, including facilitating gambling for real money
• Security violations: Attempting to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service; transmitting viruses, malware, or other malicious code
• Reverse engineering: Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code of the App
• Impersonation: Misrepresenting your identity or affiliation with any person or entity
• Interference: Interfering with or disrupting the integrity or performance of the Service, including overloading servers or networks
• Data collection: Scraping, harvesting, or collecting personal information of other users without their consent

Violation of this section may result in immediate suspension or termination of your account and access to the Service.

6. Intellectual Property

The Service, including the App, its design, logos, trademarks, service marks, text, graphics, user interface, visual elements, software, and all other content and materials (collectively, "Company Content") are owned by or licensed to Stat Share and are protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible mobile device that you own or control, solely for your personal, non-commercial use.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Company Content, in whole or in part, without our prior written consent. All rights not expressly granted herein are reserved by Stat Share.

7. In-App Purchases and Subscriptions

The Service may offer in-app purchases and subscription plans that provide access to additional features or content ("Premium Features"). If you choose to purchase Premium Features:

• All purchases are processed through Apple's In-App Purchase system and are subject to Apple's Terms and Conditions
• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscription plans automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the applicable subscription rate
• You may manage your subscriptions and turn off auto-renewal by going to your Account Settings in the App Store after purchase
• Any unused portion of a free trial period, if offered, will be forfeited if you purchase a subscription before the trial expires
• Pricing for Premium Features is subject to change. We will provide reasonable notice of any price changes

Refunds for in-app purchases are handled by Apple in accordance with their refund policies. Please contact Apple Support for refund requests.

8. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or resources. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to those services' own terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEIZO LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE; OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEIZO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS
• ANY USER CONTENT OR OTHER CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SEIZO LLC FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNTS YOU HAVE PAID TO SEIZO LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stat Share, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. Reasons for termination may include, but are not limited to, violations of these Terms, prolonged periods of inactivity, or requests by law enforcement or government agencies.

You may terminate your account at any time by contacting us at support@stat-share.com or through the account settings within the App.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

YOU AND SEIZO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any disputes not subject to arbitration.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms within the App or by sending you a notification. The "Effective Date" at the top of these Terms will be updated accordingly.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stat Share regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices: We may provide notices to you through the App, by email, or by posting on the Service. You may provide notices to us at the contact information below.
